Bylaws & Standing Rules

AAN Articles of Incorporation

The AAN Articles of Incorporation are a composite of AAN rules and statements covering various AAN governance topics. They are filed with the Minnesota Secretary of State and are, in effect, the constitution of the Academy.

The Articles can only be amended by a two-step process: (1) a majority vote of the board of directors, then (2) two-thirds of the voting membership of the Academy who are present at a meeting of the members.

AAN Bylaws

The Bylaws are the formal and detailed operating procedures of the Academy and are, in effect, the statutes governing the Academy's operations. The Bylaws can only be amended by two-thirds of the voting membership of the Academy who are present at a meeting of the members.

AAN Standing Rules

The standing rules are the less formal operating procedures of the Academy and can be amended by the Board of Directors at any time.
